POOL, Albig\u00e8s, Albon, hereinafter referred to as the \u201cSUPPLIER,\u201d implies the buyer\u2019s full and unconditional acceptance of these General Terms and Conditions of Sale. Any contrary conditions put forward by the buyer shall therefore, in the absence of the SUPPLIER\u2019s express acceptance, be unenforceable against the SUPPLIER, regardless of when they may have been brought to its attention.<br data-start=\"645\" data-end=\"648\" \/>The buyer acknowledges and accepts that the SUPPLIER may subsequently and reasonably amend these General Terms and Conditions, and that their relationship shall always be governed by the version in force on the date the order is placed.<\/p>\n<p><\/p>\n<p data-start=\"888\" data-end=\"1120\" data-is-last-node=\"\" data-is-only-node=\"\">Buyer: any natural or legal person carrying on the profession of pool installer \/ pool professional, or distributor, purchasing products (hereinafter the \u201cProducts\u201d) from the SUPPLIER for the purposes of its professional activity<\/p>\n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-c87a723 elementor-widget elementor-widget-heading\" data-id=\"c87a723\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Article 1 \u2013 Orders<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-aec0832 elementor-widget elementor-widget-text-editor\" data-id=\"aec0832\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p data-start=\"0\" data-end=\"617\">Any order placed by the Buyer must be made in writing (fax, email, or post) and must state the desired delivery address, billing address, order number, order date, references, quantity, and specifications relating to the Products. Any telephone order must be confirmed in writing, clearly stating \u201cconfirmation.\u201d An order containing incomplete or incorrect information may result in errors or delays for which the SUPPLIER cannot be held liable. All orders submitted to the SUPPLIER are accepted and binding upon the SUPPLIER only after an order acceptance acknowledgment has been issued and sent by the SUPPLIER.<\/p>\n<p><\/p>\n<p data-start=\"619\" data-end=\"1127\">Unless otherwise stipulated, the SUPPLIER\u2019s offers and quotations are valid only for one month following their issue. In such cases, the contract is formed solely upon the Buyer\u2019s unconditional acceptance of the terms set out in the quotation. In practice, the Buyer expresses its consent by returning the signed quotation by email, post, or fax, or by placing an order expressly referring to the quotation. Failure to accept these General Terms and Conditions of Sale shall render the order null and void.<\/p>\n<p><\/p>\n<p data-start=\"1129\" data-end=\"1265\">Any first order must be accompanied by payment, the original account opening form duly completed, and a bank identity statement (RIB).<\/p>\n<p><\/p>\n<p data-start=\"1267\" data-end=\"1383\">Any order with a value of less than \u20ac80.00 excl. VAT shall be subject to a flat invoicing fee of \u20ac16.00 excl. VAT.<\/p>\n<p><\/p>\n<p data-start=\"1385\" data-end=\"2069\" data-is-last-node=\"\" data-is-only-node=\"\">Any cancellation by the Buyer of an order that has been accepted by the SUPPLIER in accordance with the above provisions (hereinafter the \u201cContract\u201d) must be made in writing and shall be valid only after the SUPPLIER\u2019s approval. In the event of cancellation of the Contract by the Buyer more than 48 hours after the initial order, the SUPPLIER reserves the right to invoice the raw materials and labor already committed to the performance of said Contract. Any special or custom-made order may not be canceled, returned, or exchanged. The benefit of the Contract is personal to the Buyer and may not be assigned in any manner whatsoever without the SUPPLIER\u2019s prior written consent.<\/p>\n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-b2cda19 elementor-widget elementor-widget-heading\" data-id=\"b2cda19\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Article 2 \u2013 Prices \u2013 Payment Terms<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-1409366 elementor-widget elementor-widget-heading\" data-id=\"1409366\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">Art. 2.1<\/h3>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-adb69b4 elementor-widget elementor-widget-text-editor\" data-id=\"adb69b4\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p data-start=\"0\" data-end=\"381\">The selling price of the Products is the price in effect on the day the order is placed. It is detailed in the Contract and does not include shipping costs, which may be invoiced in addition to the price under the conditions below. All SUPPLIER prices are quoted in \u20ac excluding VAT and, unless otherwise specified, according to the INCOTERM (ICC 2020) EXW SUPPLIER\u2019s factories.<\/p><br><p data-start=\"383\" data-end=\"707\">Prices are subject to change without notice, based on economic conditions, currency fluctuations, or any other factor that may affect the cost of raw materials or labor. In the event of a price change, the Buyer will be notified prior to its implementation. The revised prices will then apply to the Buyer\u2019s future orders.<\/p><br><p data-start=\"709\" data-end=\"911\" data-is-last-node=\"\" data-is-only-node=\"\">Packaging and transportation costs are net and not subject to any discounts. Prices are exclusive of eco-contribution fees, which will be invoiced in euros according to the applicable rates and rules.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-74978ae elementor-widget elementor-widget-heading\" data-id=\"74978ae\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">Art. 2.2<\/h3>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-7d5c86b elementor-widget elementor-widget-text-editor\" data-id=\"7d5c86b\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p class=\"text-align-left font-scale-4 line-height-scale-3 gutter-bottom-14\">Any order may require a deposit, the amount of which may vary depending on the Products, prior to production and\/or delivery. The applicable deposit amount is specified in the Contract. Delivery of the Products is subject to full payment of this deposit. The remaining balance must be paid in accordance with the conditions set out below.<\/p>\n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-0740f28 elementor-widget elementor-widget-heading\" data-id=\"0740f28\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">Art. 2.3<\/h3>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-2d37a65 elementor-widget elementor-widget-text-editor\" data-id=\"2d37a65\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p data-start=\"0\" data-end=\"84\">*When opening a customer account, any first order must be paid prior to delivery.<\/p><br><p data-start=\"86\" data-end=\"594\">Invoices issued by the SUPPLIER are payable, unless otherwise agreed by the Parties, without discount, by direct LCR (bank draft) within 30 days end of month from the invoice date, subject to approval of the credit limit by our credit insurance company. In the event of refusal by the insurer, deliveries can only be made against payment prior to delivery or cash on delivery. For export shipments, any Contract must be paid prior to delivery by bank transfer or secured by an irrevocable letter of credit.<\/p><br><p data-start=\"596\" data-end=\"830\">The SUPPLIER reserves the right to adjust payment terms according to the Buyer\u2019s financial situation and\/or to condition the execution of ongoing Contracts on the provision of additional guarantees or prior payment for the Products.<\/p><br><p data-start=\"832\" data-end=\"1007\" data-is-last-node=\"\" data-is-only-node=\"\">The Buyer may not invoke any reason to defer or alter the payment terms, including any dispute regarding the quality or non-conformity of the Products or any delivery delay.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-664aa75 elementor-widget elementor-widget-heading\" data-id=\"664aa75\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">Art. 2.4<\/h3>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-b85d212 elementor-widget elementor-widget-text-editor\" data-id=\"b85d212\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>Failure to pay any installment will automatically, and without prior notice, result in the blocking of the customer account, the halt of production for all Contracts, the suspension of deliveries, a report of payment default, and the immediate maturity of all invoices issued by us<\/p>\n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-763c107 elementor-widget elementor-widget-heading\" data-id=\"763c107\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">Art. 2.5<\/h3>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-baa7c87 elementor-widget elementor-widget-text-editor\" data-id=\"baa7c87\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p data-start=\"0\" data-end=\"257\">In the event of late payment, in accordance with mandatory legal provisions, late payment interest will be applied automatically, without prior notice, at a rate equal to three times the legal interest rate on the amount due from the scheduled due date.<\/p><br><p data-start=\"259\" data-end=\"643\" data-is-last-node=\"\" data-is-only-node=\"\">Furthermore, a Buyer in default of payment shall, in accordance with the legal provisions applicable from January 1, 2013, automatically owe a fixed indemnity for recovery costs of \u20ac40.00. In the event of late payment resulting in legal action, the Buyer shall also be liable to pay a fixed compensation equal to 20% of the Product price, in addition to all recovery costs incurred.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-9906570 elementor-widget elementor-widget-heading\" data-id=\"9906570\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">Art. 2.6<\/h3>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-0ba3ed8 elementor-widget elementor-widget-text-editor\" data-id=\"0ba3ed8\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>In general, no discount will be granted for early payment.<\/p>\n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-190a812 elementor-widget elementor-widget-heading\" data-id=\"190a812\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">Art. 2.7<\/h3>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-0c970e8 elementor-widget elementor-widget-text-editor\" data-id=\"0c970e8\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>Drafts sent for acceptance must be returned to the SUPPLIER within eight days of dispatch.<\/p>\n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-ae61c6a elementor-widget elementor-widget-heading\" data-id=\"ae61c6a\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Article 3 \u2013 Delivery<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-4a7d863 elementor-widget elementor-widget-text-editor\" data-id=\"4a7d863\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p data-start=\"0\" data-end=\"393\">Unless otherwise specified, Products are delivered to the Buyer according to the INCOTERM (ICC 2020) EXW SUPPLIER\u2019s factories. Product transportation is therefore carried out at the Buyer\u2019s risk and expense. If the SUPPLIER arranges transportation to the location specified in the contract, it acts solely as the Buyer\u2019s agent. Delivery costs will therefore be fully invoiced to the Buyer.<\/p>\n<p><\/p>\n<p data-start=\"395\" data-end=\"607\">Delivery times are always given as an indication and from the SUPPLIER\u2019s factories, but they do not bind the SUPPLIER definitively. Any delay cannot give rise to cancellation, penalties, or damages of any kind.<\/p>\n<p><\/p>\n<p data-start=\"609\" data-end=\"1103\" data-is-last-node=\"\" data-is-only-node=\"\">If the Buyer identifies apparent defects (missing items or damage) upon delivery, they must immediately record detailed reservations with the carrier on the delivery documents, even if the shipment was made at the SUPPLIER\u2019s risk and expense. These reservations must be confirmed to the carrier by registered letter with acknowledgment of receipt or by any other appropriate written means no later than two (2) business days after delivery. A copy of this letter must be sent to the SUPPLIER.<\/p>\n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e457adf elementor-widget elementor-widget-heading\" data-id=\"e457adf\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Article 4 \u2013 Specific Transport Costs<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-5905ed4 elementor-widget elementor-widget-text-editor\" data-id=\"5905ed4\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\tBy way of exception to the provisions of Article 3, certain Products are delivered with specific transport costs. All transport costs and conditions stated in this Article 4 apply only to mainland France. For any delivery outside mainland France, the Buyer is invited to contact the SUPPLIER to obtain a specific quotation.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-924675e elementor-widget elementor-widget-heading\" data-id=\"924675e\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">Art 4.1<\/h3>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-a5c855d elementor-widget elementor-widget-text-editor\" data-id=\"a5c855d\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p data-start=\"0\" data-end=\"75\">Liners, bubble covers, reels, and winter covers from ALBIG\u00c8S and ALBON.<\/p>\n<p><\/p>\n<p data-start=\"77\" data-end=\"408\">For all orders over \u20ac550.00 excl. VAT (order amount calculated per company), net of discounts and delivered in a single shipment, free shipping will be granted for deliveries within mainland France, except for Products longer than 6 meters or other Products in the catalog with specific shipping terms indicated in their pricing.<\/p>\n<p><\/p>\n<p data-start=\"410\" data-end=\"694\">Any delivery of an order under \u20ac550.00 excl. VAT, net of discounts, will be subject to a transport fee of \u20ac40.00 excl. VAT or \u20ac30.00 excl. VAT depending on the products. Any delivery to a private individual will be subject to a transport fee of \u20ac56.00 excl. VAT or \u20ac40.00 excl. VAT.<\/p>\n<p><\/p>\n<p data-start=\"696\" data-end=\"748\" data-is-last-node=\"\" data-is-only-node=\"\">Express shipments are at the Buyer\u2019s sole expense.<\/p>\n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-7040b18 elementor-widget elementor-widget-heading\" data-id=\"7040b18\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">Art 4.2<\/h3>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-c47bb20 elementor-widget elementor-widget-text-editor\" data-id=\"c47bb20\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\tBar Covers from ALBIG\u00c8S.<br data-start=\"26\" data-end=\"29\" \/>All deliveries will be invoiced according to a specific pricing schedule. No free shipping will apply.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-2e743d5 elementor-widget elementor-widget-heading\" data-id=\"2e743d5\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">Art 4.3<\/h3>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-31b51ed elementor-widget elementor-widget-text-editor\" data-id=\"31b51ed\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\tShutters (and Products in the shutter range).<br>All deliveries are subject to a minimum transport fee of \u20ac30.00 excl. VAT. Each delivery will be invoiced according to a specific pricing schedule based on the Product\u2019s weight, length, and destination, except for the DEEPSO shutter, for which transport is included in the Product\u2019s sale price (excluding transport of spare parts, which is invoiced according to the shutter pricing schedule).\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-66134de elementor-widget elementor-widget-heading\" data-id=\"66134de\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">Art 4.4<\/h3>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e5cfc74 elementor-widget elementor-widget-text-editor\" data-id=\"e5cfc74\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p data-start=\"0\" data-end=\"71\">Albon and Albig\u00e8s Trade Products (mounting equipment, accessories).<\/p><br><p data-start=\"73\" data-end=\"220\">For all orders under \u20ac250.00 excl. VAT, net of discounts and delivered in a single shipment, a transport fee of \u20ac30.00 excl.
